A. Venture Capital Financings
Mr.
Martin has lead, overseen or participated in over 120 venture capital, and other
private equity, financings over a period of 25 years. Through these
experiences he has gained and expertise in structure and valuation issues and
has developed extensive relationships in the venture capital industry.
B. Mergers/Acquisitions/Divestitures
Mr. Martin has personally
lead/originated/structured/negotiated over 90 M & A transactions.
Through this experience he has gained in-depth knowledge of the buy side and
sell-side considerations public and private transactions and the broad range of
negotiation and structuring issues arising out of complex corporate
combinations.
C. Public Offerings
Mr. Martin has had direct experience
with approximately 30 initial public offerings (IPO's) of companies in which he
had major share holdings and/or served on the company's Board of Directors.
In addition, Mr. Martin has substantial experience
in private equity, leveraged buyouts, recapitalizations and other complex financial
transactions involving larger, established companies.
Organization and Team
Building

of the leadership and management team of any company is the most critical factor
in its success. Mr. Martin has seasoned experience in the recruitment,
selection, evaluation and compensation of such individuals.
A. Operating Experience
It is difficult to judge a good
management if you have never "walked a mile in their shoes". In
Mr. Martin's early career, over a period of 15 years, he served as CEO, company
founder and in other top management positions in emerging growth, technology
companies.
B. Board-Level Service
Over a period of 35 years Mr. Martin has
served on 46 Board of Directors, several for as long as a decade. Through
the investment firms that he founded and/or managed Mr. Martin's indirect
experience extended to over 120 companies. Such Board experience included
the recruitment/selection of CEO's, often top management and Board members,
corporate governance, financing and corporate strategy determination for
companies in a wide range of industries.
C. TEC Organization
For 25 years Mr. Martin was co-owner and
Board member of the TEC Organization, the largest proprietary membership organization
in the world, dedicated to the development of management skills of
company Presidents and CEO's. The TEC program operates in 72 U.S. cities
and seven foreign nations.
